AXIAL FLUX STUDIO / LEGAL
Axial Flux Studio licence terms
These terms are an agreement between you and Cole Standley, an individual based in California who operates Axial Flux Studio ("we", "us") for the Axial Flux Studio desktop software, its updates and its documentation (the "Software"). By installing or using the Software you accept them. If you use it for an organisation, you accept them for that organisation and confirm that you may.

1. What you get
We grant you a non-exclusive, non-transferable licence to install and use the Software under the plan you hold, for as long as that plan is in force. You do not buy the Software itself; it remains ours and our licensors'.
2. Plans
| Free | Maker | Commercial | |
|---|---|---|---|
| Who may use it | One person | One person | One named person |
| Permitted use | Learning, evaluation, personal projects (§3) | Personal, educational and non-commercial work, with an incidental revenue allowance (§3) | Any lawful work, including paid engineering and work for a business |
| Computers | Any of your own | Up to 2 at a time | Up to 2 at a time |
| Computations at once | 1 | 1 | 2 |
The capabilities in each plan are listed on the plans page at the time of purchase. Every plan runs the same solvers at the same numerical accuracy; plans differ in rights, workflows and concurrency, never in accuracy.
3. Commercial use
"Commercial use" means using the Software, or its results, in work you are paid for, in work for a business, or to design a product sold by a business.
- Free is for non-commercial use. A business may evaluate the Software on Free for up to 30 days before deciding to buy.
- Maker is for non-commercial use. Selling a few machines or parts from a personal project is allowed while the revenue from everything designed with the Software stays below US$5,000 a year. Above that, or as soon as the work is done for a business, you need Commercial.
- Commercial permits commercial use by the one named user. Each person who uses the Software for a business needs their own Commercial licence.
- Students and teachers may receive Maker free of charge for coursework after we confirm eligibility by email. Research for a grant, a contract or a company is not coursework.
We do not inspect your designs to decide which plan you need. These rules are part of this agreement, and you are responsible for following them.
4. Activation and licence checks
- Paid plans are activated on a computer through your account. The Software creates a random identifier for each installation and sends it, with your licence, to our licensing provider (Keygen). It does not send hardware details, your designs or your results.
- The Software checks the licence online about once a day when a connection is available. A successful check keeps paid features available offline for about 14 days. After that, paid features pause until the next successful check; Free features keep working.
- A suspended, refunded or expired licence stops paid features at the next check, or at the end of the offline period at the latest.
- You may release a computer from the Software and activate another. From your account page you may also release a computer you no longer have, up to 3 times per licence in any 30 days. Contact support if you need more.
- You must not share a licence key, work around activation or licence checks, or let more people or computers use a licence than it allows.
5. Subscriptions, renewal and cancellation
Paid plans are subscriptions billed yearly or monthly through Paddle, our reseller and merchant of record (see the website terms). A subscription renews automatically until you cancel it. Cancelling stops the next renewal; the licence stays active until the end of the period you paid for. Refunds follow the refund policy.
A founding price stays at that price for as long as the subscription renews without a gap.
6. Your work stays yours
Your designs, projects and results belong to you. We claim no rights in them and the Software does not upload them. When a paid plan ends, you can still open, view, save and export everything you made; only the paid workflows stop. Files you send us for support are used only to answer that request.
7. Restrictions
Except as this agreement or applicable law allows, you must not:
- copy the Software other than for installation and backup, or distribute, sell, rent or sublicense it;
- reverse engineer, decompile or disassemble it, except to the extent the law gives you that right despite this restriction;
- remove proprietary notices, or circumvent licence checks or technical limits;
- use it to build a competing simulation product from its code, or offer it as a hosted service to others.
8. Engineering results
The Software produces engineering estimates from models with stated scopes and limits, which the documentation describes. Results depend on your inputs, material data, mesh and model choices. You are responsible for checking results and for the safety, fitness and compliance of anything you design, build or sell. The Software is not certified for safety-critical use, and a result from it is not a certification, a test result or a substitute for qualified engineering review.
9. Updates and support
Paid plans include updates and bug fixes while the plan is active, and support by email on a best-effort basis. There is no service-level agreement, response-time commitment or guaranteed availability of any online service. Free includes updates and the ability to report bugs.
10. Third-party components
The Software includes third-party components under their own licences, identified in the notices and licence files supplied with your installed version. Those licences govern those components and, where they grant you more rights, prevail for them. The website has its own third-party notices.
11. Warranty
The Software is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. Some jurisdictions do not allow these exclusions; there, they apply only as far as permitted.
12. Liability
To the extent the law allows:
- we are not liable for indirect, incidental, special or consequential losses, or for lost profits, data, designs, production or business;
- our total liability under this agreement is limited to the amount you paid us for the Software in the 12 months before the claim (or US$50 on Free).
Nothing in these terms limits liability that cannot be limited by law, such as for fraud or for death or personal injury caused by negligence.
13. Ending this agreement
You may stop using the Software at any time. We may suspend or end your licence if you materially breach these terms and, where the breach can be fixed, do not fix it within 14 days of our notice. Sections 6, 7, 8, 11, 12 and 15 survive the end of the agreement.
14. Export and sanctions
You must comply with the export-control and sanctions laws that apply to you and to the Software.
15. General
- Changes. We may update these terms for new versions. Changes apply from your next renewal or update, and we will tell you by email or in the Software. If you do not accept them, you may cancel and keep using the version you have under the terms it came with until your paid period ends.
- Business succession. If Axial Flux Studio is later incorporated, reorganised or transferred to a successor legal entity, we may arrange for that entity to take over this agreement and assume our obligations. We will give you advance notice by email or in the Software, identifying the successor, its contact details and the proposed effective date. Any transfer is subject to applicable law and any required customer consent or third-party approval. It will not reduce your existing paid-period entitlements, refund rights or privacy protections. A transfer does not by itself release either party from obligations or liabilities arising before it takes effect. Until a transfer lawfully takes effect, the operator identified above remains responsible under this agreement.
- Law and courts. These terms are governed by the laws of the State of California, USA, without regard to conflict-of-law rules. The state and federal courts in Solano County, California have jurisdiction. Mandatory consumer protections of your country of residence still apply.
- Entire agreement. These terms, the plan description at purchase, the website terms and the refund policy are the whole agreement about the Software.
